Agreement
These terms ("Terms") govern your use of ScanSync's website, web app, mobile app, and API (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm you're authorized to accept these Terms for it, and "you" includes that organization.
Accounts
- You must provide accurate information and keep your password and API keys secure. You're responsible for activity under your account.
- The owner of an organization controls its staff, events, data, and billing, and is responsible for the people they invite.
- Tell us right away through our contact form if you think your account has been compromised.
Your data
You keep all rights to the content you put into the Service, including events and attendee lists ("Customer Data"). You give us permission to host, process, and display Customer Data only as needed to provide and improve the Service, as described in our privacy policy.
You're responsible for Customer Data: for having the right to collect and upload it, for giving attendees any required notices or getting their consent, and for complying with privacy laws that apply to you. You can export attendee lists at any time.
Acceptable use
You agree not to:
- Use the Service for anything unlawful, or to upload data you don't have the right to use.
- Upload malicious code, or try to break, overload, or get around the Service's security or plan limits.
- Access other customers' data, or scrape or reverse engineer the Service except where the law allows.
- Resell or sublicense the Service without our written permission.
- Use the Service to send spam or to harass anyone.
Plans and billing
- Free plan: available at no charge, within the limits shown on our pricing page. We may change free plan limits with notice.
- Paid plans: billed monthly in advance through Stripe, and renew automatically until cancelled. Prices don't include taxes, which may be added where required.
- Changes and cancellation: you can change or cancel your plan any time from your billing page. When a subscription ends, your organization moves to the Free plan and its limits apply. Your existing data isn't deleted.
- Refunds: fees already paid are non-refundable, except where required by law.
- Price changes: we'll give account owners at least 30 days' notice before a price increase takes effect.
- Failed payments: if a payment fails and isn't resolved, we may move your organization to the Free plan.
API and integrations
You may use our API and webhooks to connect the Service with your own systems. Keep API keys secret, and use the API within reasonable limits. We may limit or suspend API access that harms the Service or other customers. Data you send to third-party systems through webhooks or integrations is governed by your agreements with those third parties.
Availability and changes to the Service
We work hard to keep ScanSync available, especially during events, but we don't guarantee uninterrupted service. The mobile app's offline mode is designed to keep scanning working during connectivity problems. We may change or improve features over time. If we remove something you rely on, we'll try to give reasonable notice.
Our property
The Service, including its software, design, and brand, belongs to ScanSync and is protected by law. These Terms give you the right to use the Service, but not to own it. If you send us feedback, we may use it without any obligation to you.
Termination
You can stop using the Service and close your account at any time. We may suspend or terminate access if you seriously or repeatedly break these Terms, if required by law, or to protect the Service or other users. Where reasonable, we'll give notice first and a chance to export your data.
Disclaimers
The Service is provided "as is" and "as available". To the extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You're responsible for your event operations, including having a backup plan for admitting guests.
Limitation of liability
To the extent allowed by law, ScanSync won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim, or $100 if you're on the Free plan.
Indemnity
You agree to defend and hold ScanSync harmless from claims arising from your Customer Data or your misuse of the Service, to the extent allowed by law.
Changes to these Terms
We may update these Terms. If a change is material, we'll update the date above and notify account owners by email before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
General
These Terms, together with our privacy policy, are the entire agreement between you and ScanSync about the Service. If any part is found unenforceable, the rest still applies. Not enforcing a right isn't a waiver of it. You can't transfer these Terms without our consent, but we may transfer them as part of a merger, acquisition, or sale of assets.
